CFO Compensation in India: How to Read the Numbers

HeadhuntCFO · 29 August 2026 · 1 min read

Fixed, variable, perquisites, ESOPs and the pay-to-median ratio — how to interpret what a company discloses about its CFO's pay.

Indian listed companies disclose a surprising amount about how their senior executives are paid — if you know where to look and how to read it.

Where the numbers live

Remuneration appears in the annual report: the Section 197 disclosures, the corporate governance report, and the related-party or key management personnel notes. Individual figures are richest when the CFO is also a board director.

The components

Total compensation is rarely one number. It combines fixed salary, variable or performance pay, perquisites, retiral benefits and equity (ESOPs or similar). A high headline figure driven by one-time equity vesting is a different story from a high fixed base.

The pay-to-median ratio

Companies disclose the ratio of a KMP's remuneration to the median employee. It's a useful lens on how a CFO is paid relative to the organisation — and a quick sanity check when benchmarking.

Reading it in context

A number means little without the scale behind it. Pay for a large, complex balance sheet looks different from a mid-cap. A CFO directory that structures these disclosures lets you compare like with like.

A note of caution: disclosure has gaps and lags, so always verify against the source filing before relying on a figure.
