Committee seats, statutory oversight and certifications — how to gauge the weight a CFO carries in the boardroom.

Seniority isn't only about title and pay. For a CFO, influence in the boardroom is a real signal of mandate and reach — and much of it is disclosed.

Committee membership and attendance

The corporate governance report lists board and committee composition and attendance. A CFO who sits on or regularly attends the audit and risk committees carries more weight than one who doesn't.

Statutory oversight

Whether the CFO signs the CEO/CFO certification, and their role in internal financial controls, indicates the level of statutory responsibility they hold.

Board director status

A CFO who is also a whole-time director sits closer to the board table — and, usefully for research, has richer individual disclosure.

Why it matters
