CFO Compensation in India: How to Read an Annual Report

For recruiters and finance leaders, compensation is one of the most useful and most misread data points in a CFO search. Here is how to read it properly from Indian annual reports.

Where the numbers live

Executive pay in Indian listed companies is disclosed in the annual report, usually across the Board's Report and the Corporate Governance section. Key managerial personnel remuneration and the Section 197(12) disclosures show the CFO's pay when they are classified as KMP.

Separate fixed from variable

Headline totals blend several things. Break the number into:

• Fixed salary and allowances — the stable base.
• Variable / performance pay — bonuses tied to targets.
• Perquisites and retirement benefits — often overlooked but material.
• Equity or ESOPs — where long-term incentives sit.

A CFO on a high variable mix signals a performance-driven culture; a fixed-heavy package often reflects a more conservative or regulated business.

Use the ratio, not just the rupees

The remuneration-to-median-employee ratio (a Section 197 disclosure) is a quick way to compare pay across companies of different sizes. A high ratio in a small company can indicate a founder-led premium; a modest ratio in a large one can flag underpayment risk that a rival could exploit.

Watch for what is not disclosed

Not every company discloses a clean CFO figure — some report only aggregate KMP pay, or the CFO joined mid-year. Treat undisclosed or estimated figures with caution and never present an estimate as a hard number to a candidate or client.

Benchmark before you advise

Pull three to five comparable companies in the same sector and revenue band before quoting a range. Compensation is only meaningful in context.
